Terms of Service

These terms govern your use of GoodStrata, the AI-assisted owners-corporation management platform operated by Good Strata Pty Ltd (ABN 55 684 135 760, ACN 684 135 760), a company registered in Melbourne, Victoria, Australia ("Good Strata", "we", "us"). By creating an account, using the hosted service at my.goodstrata.com.au, or otherwise accessing GoodStrata, you agree to these terms. If you are agreeing on behalf of an owners corporation, a committee, or another organisation, you confirm you are authorised to bind that body.

Plain-English summary, not a substitute for the terms below: GoodStrata is free for owners corporations to run. We do not hold, receive or transmit your owners corporation's money, and we take nothing from your levies. Our planned revenue is optional paid managed services. Software agents do the routine work, but people make the decisions and the money is computed by deterministic, tested code, never by the AI. The platform is provided as-is, with the warranties limited as far as the law allows. You can also run it yourself: the code is open source under Apache-2.0.

1. The service

GoodStrata is software that helps run the day-to-day administration of an owners corporation (also called a body corporate or strata company): issuing and tracking levies, matching payments, following up arrears, triaging maintenance and dispatching contractors, sending meeting notices, drafting minutes, holding records, and maintaining an append-only audit log of what happened. Parts of this work are performed by automated software agents. What the agents may and may not do is described in clause 4.

We provide the service to owners corporations, their committees, their appointed managers, and individual lot owners and residents who are given access. We may add, change, or remove features over time. Where a change materially reduces the core functionality you rely on, we will give reasonable notice through the platform or by email.

2. Who may use GoodStrata, and your account

You must be at least 18 years old and able to form a binding contract to hold an account. You are responsible for keeping your login credentials secure and for activity that occurs under your account. Tell us promptly if you believe your account has been accessed without your authorisation. Access to particular records and actions is tiered by role: for example, a lot owner sees their own lot's statements, while committee functions are reserved for committee members. You agree to use only the access granted to you.

3. What it costs: free for owners corporations, and how we earn

GoodStrata is free for owners corporations to use. There is no per-lot software licence fee and no subscription to run your building on the platform, and we take no margin, commission or fee out of your levies.

  • Optional managed services. An owners corporation that wants people in the loop, such as hands-on onboarding, a managed contractor panel, human support, or a full managed-service arrangement, can pay for those services. These are opt-in, quoted before you commit, and priced separately.

We will always tell you before you incur a fee. Fees, where they apply, are quoted in Australian dollars and may attract GST. We do not sell your personal information, and we do not fund the service through advertising. If we ever introduce a further charge, we will publish it here and tell affected owners corporations before it takes effect.

3A. We do not hold your owners corporation's money

GoodStrata is not a bank, not an authorised deposit-taking institution, and not a provider of a payment service to you. We do not hold, receive, control or transmit money belonging to your owners corporation, we do not operate a trust account for it, and we are not the manager of your owners corporation.

Levies are paid directly into a bank account that your owners corporation opens, owns and controls. Levy notices issued through the platform carry your own account details. We record and reconcile those payments so the ledger, arrears and voting eligibility stay accurate, but the money itself never passes through us and we have no ability to move it.

Your owners corporation remains responsible for the operation of its own accounts, including the statutory obligations that attach to owners corporation money under the Owners Corporations Act 2006 (Vic).

4. Decisions are human; money is deterministic code

This is the heart of how GoodStrata works, and it is a term of your use, not just a design note.

  • Agents execute; humans decide. Software agents can prepare, propose, and carry out routine operational work, and they can assemble a decision for you with the evidence attached. They cannot make a decision that spends the owners corporation's money, commits the building, commences action against an owner, or bends a rule. Anything of that kind waits for an authorised person to approve, vote, or escalate.
  • The money is code, not the AI. Financial calculations, including levy apportionment by entitlement, penalty interest, payment matching, fund splits, and vote weighting, are performed by deterministic, tested code, not by an AI model. The model may write covering words around a figure, but the figure itself is computed and recorded by the engine.
  • Everything is on the record. Actions are written to an append-only audit log that is designed so entries cannot be edited or deleted after the fact, and human actions are distinguished from agent actions.

Because software agents assist with drafting and triage, automated output can still contain errors or omissions. You remain responsible for reviewing anything material before you act on it, and for the decisions you approve. GoodStrata is a tool to help you administer your owners corporation; it is not a substitute for legal, financial, tax, or professional advice, and nothing it produces is such advice.

5. Acceptable use

You agree not to:

  • use GoodStrata for any unlawful purpose, or in breach of the strata, owners-corporation, or body-corporate legislation that applies to your building;
  • upload or enter information you do not have the right to provide, or misrepresent your identity, role, or authority in an owners corporation;
  • access records, lots, or functions you have not been granted access to, or attempt to defeat the platform's role-based access controls;
  • attempt to disrupt, overload, probe, or gain unauthorised access to the service or its infrastructure, or interfere with other users;
  • use the service to send unlawful, harassing, deceptive, or infringing content, or to harvest personal information for purposes the owners corporation has not authorised;
  • use automated means to place unreasonable load on the hosted service, or resell access to the hosted service, except as the open-source licence permits for self-hosting.

We may suspend or limit access where we reasonably believe use breaches these terms or puts the service, its data, or other users at risk. Where practical and lawful, we will give notice.

6. Your data

The owners corporation's records and the personal information processed through GoodStrata are handled as described in our Privacy Policy, which forms part of these terms. In short: data for the hosted service is stored in Australia, automated agents process operational data to run the service, and the money is computed by deterministic code rather than by the AI. As between you and us, the owners corporation and its members retain their rights in the corporation's own records; you grant us the rights we need to host, process, back up, and display that data to provide the service.

7. Open source and the self-host option

GoodStrata's source code is published under the Apache License, Version 2.0. Your use of that source code is governed by the Apache-2.0 licence, not by these terms, and nothing here limits the rights that licence grants you. You are free to run your own copy of GoodStrata on your own infrastructure. If you self-host, you are responsible for your own deployment, security, backups, payment arrangements, and compliance. The hosted-service terms in this document and our Privacy Policy describe the service we operate at my.goodstrata.com.au, not a deployment you run yourself.

8. Third-party services

The hosted service relies on reputable third parties, for example payment processing, email delivery, hosting, and document storage, described in our Privacy Policy. Their availability and their own terms are outside our control, and we are not responsible for their acts or omissions beyond what the law requires of us.

9. Availability, and no warranty

GoodStrata is provided "as is" and "as available". To the maximum extent permitted by law, and consistent with the free and open-source nature of the platform, we make no warranties of any kind, whether express or implied, including as to merchantability, fitness for a particular purpose, accuracy, or uninterrupted or error-free operation. We do not warrant that automated output will be complete or correct, or that the service will always be available.

Nothing in these terms excludes, restricts, or modifies any guarantee, right, or remedy you may have under the Australian Consumer Law or other law that cannot lawfully be excluded. Where our liability for a failure to comply with such a guarantee can be limited, we limit it (at our option, and to the extent the law allows) to re-supplying the service or paying the cost of having it re-supplied.

10. Limitation of liability

To the maximum extent permitted by law, and except for liability that cannot lawfully be excluded, Good Strata is not liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, goodwill, or anticipated savings, arising out of or in connection with GoodStrata or these terms, whether in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such loss.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the service or these terms is limited to the greater of (a) the total fees, if any, you paid to us for the service in the twelve months before the event giving rise to the liability, and (b) one hundred Australian dollars (AUD $100). This reflects that GoodStrata is provided free of charge to owners corporations and as open-source software.

11. Indemnity

To the extent permitted by law, you agree to indemnify us against claims, loss, or damage arising from your breach of these terms, your unlawful use of the service, or your provision of information you were not entitled to provide, except to the extent the claim is caused by our own breach or negligence.

12. Suspension and termination

You may stop using GoodStrata at any time. We may suspend or terminate access where you breach these terms, where required by law, or where we cease to offer the hosted service, giving reasonable notice where practical. On termination, provisions that by their nature should survive, including clauses 4, 6, 9, 10, 11, and 14, continue to apply. Because the software is open source, you retain the option to self-host under the Apache-2.0 licence.

13. Changes to these terms

We may update these terms from time to time. When we make a material change, we will update the "last updated" date above and, where the change materially affects your rights, give reasonable notice through the platform or by email. Continued use after a change takes effect means you accept the updated terms.

14. Governing law

These terms are governed by the laws of the State of Victoria, Australia. You and Good Strata submit to the non-exclusive jurisdiction of the courts of Victoria and the courts able to hear appeals from them. If any provision is found unenforceable, the rest continues in force.
